By accessing and using Emveratech's affiliate marketing platform ("Platform"), you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. These Terms constitute a legally binding agreement between you and Emveratech.

1.2 Eligibility Requirements

3. Account Registration and Management

3.1 Account Creation

To access our platform, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.2 Account Verification

We may require identity verification, business documentation, and compliance checks before approving your account. This process helps maintain network quality and regulatory compliance.

3.3 Account Suspension and Termination

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activities, or fail to meet our quality standards. Account holders will be notified of suspension or termination with reasons provided when possible.

4. Publisher Terms and Obligations

4.1 Traffic Quality Standards

Publishers must maintain high traffic quality standards, including legitimate user engagement, compliance with advertiser requirements, and adherence to industry best practices. Fraudulent, incentivized, or low-quality traffic is strictly prohibited.

4.2 Compliance Requirements

  • Comply with all applicable advertising laws and regulations
  • Maintain proper disclosures and privacy policies
  • Respect advertiser brand guidelines and restrictions
  • Obtain necessary permissions for promotional activities
  • Report suspicious activities or compliance concerns

4.3 Commission Structure and Payments

Publishers earn commissions based on validated conversions and agreed-upon rates. Payments are processed bi-weekly with a minimum payout threshold of $500. Commission rates may vary by campaign and are subject to performance-based adjustments.

5. Advertiser Terms and Obligations

5.1 Campaign Requirements

Advertisers must provide accurate campaign information, competitive commission rates, and clear conversion requirements. All offers must comply with applicable laws and industry standards.

5.2 Payment Terms

Advertisers operate on net-30 payment terms with flexible billing options. Payment methods include wire transfers, ACH, and credit cards. Custom payment arrangements are available for enterprise clients.

5.3 Quality Assurance

Advertisers must maintain consistent conversion tracking, provide timely feedback on traffic quality, and work collaboratively with our team to optimize campaign performance.

6. Prohibited Activities

The following activities are strictly prohibited on our platform:

6.1 Fraudulent Activities

  • Click fraud, impression fraud, or conversion fraud
  • Use of bots, automated scripts, or artificial traffic generation
  • Cookie stuffing, pixel stuffing, or attribution manipulation
  • False or misleading conversion reporting
  • Identity theft or impersonation

6.2 Compliance Violations

  • Violation of advertising laws, regulations, or industry standards
  • Trademark or copyright infringement
  • Deceptive or misleading advertising practices
  • Promotion of illegal products or services
  • Violation of privacy laws or data protection regulations

6.3 Platform Abuse

  • Attempting to circumvent platform security measures
  • Unauthorized access to other users' accounts or data
  • Disruption of platform operations or services
  • Harassment or abuse of other users or staff
  • Sharing account credentials or unauthorized account access

7. Intellectual Property Rights

7.1 Platform Ownership

Emveratech owns all rights, title, and interest in the platform, including software, technology, trademarks, and proprietary algorithms. Users are granted a limited, non-exclusive license to use the platform in accordance with these Terms.

7.2 User Content

Users retain ownership of their content but grant Emveratech a license to use, display, and distribute such content as necessary for platform operations and service provision.

7.3 Respect for Third-Party Rights

Users must respect the intellectual property rights of third parties and obtain necessary permissions before using copyrighted materials, trademarks, or proprietary content in their campaigns.

8. Limitation of Liability

To the maximum extent permitted by law, Emveratech's liability is limited as follows:

8.1 Service Availability

While we strive for maximum uptime, we cannot guarantee uninterrupted service availability. We are not liable for losses resulting from service interruptions, maintenance, or technical issues beyond our reasonable control.

8.2 Third-Party Actions

We are not responsible for the actions, content, or performance of third-party publishers, advertisers, or service providers. Users engage with third parties at their own risk.

8.3 Damages Limitation

Our total liability for any claims arising from these Terms or platform use shall not exceed the amount paid by the user to Emveratech in the twelve months preceding the claim.

9. Indemnification

Users agree to indemnify and hold harmless Emveratech from any claims, damages, or expenses arising from their use of the platform, violation of these Terms, or infringement of third-party rights. This includes reasonable attorney fees and legal costs.

10. Dispute Resolution

10.1 Informal Resolution

We encourage users to contact our support team first to resolve disputes informally. Many issues can be resolved quickly through direct communication.

10.2 Binding Arbitration

If informal resolution fails, disputes will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. Arbitration will be conducted in New York, NY, unless otherwise agreed.

10.3 Class Action Waiver

Users waive the right to participate in class action lawsuits or class-wide arbitration against Emveratech. All disputes must be resolved on an individual basis.

11. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of New York, without regard to conflict of law principles. Any legal proceedings not subject to arbitration shall be conducted in the courts of New York County, New York.

12. Miscellaneous Provisions

12.1 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

12.2 Entire Agreement

These Terms constitute the entire agreement between users and Emveratech regarding platform use, superseding all prior agreements and understandings.

12.3 Assignment

Users may not assign their rights or obligations under these Terms without our written consent. Emveratech may assign these Terms in connection with a merger, acquisition, or sale of assets.
